AGREEMENT TO OUR LEGAL TERMS

We are RAVEN CYBERSECURITY I.K.E., doing business as RAVEN SEC P.C. ('Company', 'we', 'us', or 'our'), a company registered in Greece at Pinelopis 13, Heraklion 71500 Greece. Our VAT number is 802069246 and our General Commercial Register is ELGEMI.169319027000.

We operate the Learning Management System (LMS) at https://kbadouvas.ravensec.eu (the 'LMS Platform'), as well as any other related products and services that refer or link to these Terms and Conditions (collectively, the 'Services').

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and RAVEN CYBERSECURITY I.K.E., concerning your access to and use of the LMS Platform. You agree that by accessing the LMS Platform, you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE LMS PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time. We will alert you about any changes by updating the 'Last updated' date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the LMS Platform after the date such revised Terms and Conditions are posted.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the LMS Platform. If you are a minor, you must have your parent or guardian read and agree to these Terms and Conditions prior to you using the LMS Platform.

We recommend that you print a copy of these Terms and Conditions for your records.

1. OUR SERVICES

The Raven Cybersecurity LMS Platform provides educational and training content in the field of cybersecurity, including but not limited to courses on:
• Cybersecurity Awareness
• Phishing Detection and Prevention
• Secure Office Practices
• Remote Work Security Best Practices
• Technical Cybersecurity Training
• IT Security Practices
• Secure Coding

The information and training provided when using the LMS Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the LMS Platform from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our LMS Platform, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, course materials, assessment content, and training resources (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

Our Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws and treaties in Greece, the European Union, and around the world.

The Content and Marks are provided in or through the LMS Platform 'AS IS' for your educational, training, or internal business purpose only.

Your use of our LMS Platform

Subject to your compliance with these Terms and Conditions, including the 'PROHIBITED ACTIVITIES' section below, we grant you a non-exclusive, non-transferable, revocable license to:
• access the LMS Platform;
• participate in courses and training modules;
• complete assessments and receive certifications; and
• download or print a copy of any portion of the Content to which you have properly gained access solely for your educational, training, or internal business purpose.

Except as set out in this section or elsewhere in our Terms and Conditions, no part of the LMS Platform and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the LMS Platform, Content, or Marks other than as set out in this section or elsewhere in our Terms and Conditions, please address your request to: info@ravensec.eu. If we ever grant you the permission to post, reproduce, or publicly display any part of our LMS Platform or Content, you must identify us as the owners or licensors of the LMS Platform, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the LMS Platform, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Terms and Conditions and your right to use our LMS Platform will terminate immediately.

Your submissions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the LMS Platform ('Submissions'), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

3. USER REPRESENTATIONS

By using the LMS Platform, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms and Conditions; (2) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the LMS Platform; (3) you will not access the LMS Platform through automated or non-human means, whether through a bot, script, or otherwise; (4) you will not use the LMS Platform for any illegal or unauthorized purpose; and (5) your use of the LMS Platform will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the LMS Platform (or any portion thereof).

4. USER REGISTRATION AND ACCOUNTS

To access certain features of the LMS Platform, you may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

If your organization has purchased access to the LMS Platform for multiple users, the designated administrator from your organization will be responsible for managing user accounts, assigning courses, and monitoring progress for all users under the organization's subscription.

5. COURSE CONTENT AND MATERIALS

All course content and materials provided through the LMS Platform are for educational and training purposes only. While we strive to provide accurate and up-to-date information, we do not warrant that the course content will be error-free or that it will meet specific requirements or expectations.

The course content and materials, including downloadable resources, are provided for your personal use only. You may not share your account credentials or course access with others, nor may you distribute, republish, or use the course materials for any commercial purpose without our express written consent.

6. PROHIBITED ACTIVITIES

You may not access or use the LMS Platform for any purpose other than that for which we make the LMS Platform available. The LMS Platform may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the LMS Platform, you agree not to:

  • Systematically retrieve data or other content from the LMS Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the LMS Platform.
  • Share your account credentials with others or allow multiple individuals to use your account to access the LMS Platform.
  • Record, reproduce, or distribute the audio, video, or any content from the courses without our express written permission.
  • Engage in unauthorized framing of or linking to the LMS Platform.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the LMS Platform.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person or use the username of another user.
  • Attempt to bypass any measures of the LMS Platform designed to prevent or restrict access to the LMS Platform, or any portion of the LMS Platform.
  • Copy or adapt the LMS Platform's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the LMS Platform.
  • Use the LMS Platform as part of any effort to compete with us or otherwise use the LMS Platform and/or the Content for any revenue-generating endeavor or commercial enterprise.

7. LEARNING MANAGEMENT SYSTEM USAGE

The LMS Platform may track your progress, assessment scores, and completion status for the courses in which you are enrolled. This information may be shared with your organization's administrator if your access is part of an organizational subscription.

You are responsible for maintaining the equipment and internet connections that you use to access the LMS Platform. We cannot guarantee that the LMS Platform will operate with all hardware or software configurations.

8. ASSESSMENT AND CERTIFICATION

The LMS Platform may include assessments, quizzes, and tests to evaluate your understanding of the course material. Upon successful completion of courses and passing required assessments, you may be eligible to receive a certificate of completion or other credential.

Certificates and credentials issued through the LMS Platform are not equivalent to academic degrees or professional certifications unless specifically stated. They represent completion of the specific training program only.

We reserve the right to revoke certificates or credentials if we discover that they were obtained through dishonest means, such as cheating on assessments or unauthorized sharing of account access.

9. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: Privacy Policy. By using the LMS Platform, you agree to be bound by our Privacy Policy, which is incorporated into these Terms and Conditions.

Please be advised the LMS Platform is hosted in the Netherlands. If you access the LMS Platform from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the Netherlands, then through your continued use of the LMS Platform, you are transferring your data to the Netherlands, and you expressly consent to have your data transferred to and processed in the Netherlands.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the LMS Platform at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our LMS Platform.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the LMS Platform. We cannot guarantee the LMS Platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the LMS Platform, resulting in interruptions, delays, or errors.

You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the LMS Platform during any downtime or discontinuance of the LMS Platform. Nothing in these Terms and Conditions will be construed to obligate us to maintain and support the LMS Platform or to supply any corrections, updates, or releases in connection therewith.

11. GOVERNING LAW

These Terms and Conditions are governed by and interpreted following the laws of Greece, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded.

If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law in your country of residence. RAVEN CYBERSECURITY I.K.E. and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Heraklion, which means that you may make a claim to defend your consumer protection rights in regards to these Terms and Conditions in Greece, or in the EU country in which you reside.

12. DISPUTE RESOLUTION

Informal Negotiations: To expedite resolution and control the cost of any dispute, the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration: Any dispute arising from these Terms and Conditions shall be determined by one arbitrator under the Arbitration Rules of the European Court of Arbitration. Seat: Heraklion, Greece. Language: Greek. Applicable law: Greek law.

Restrictions: The arbitration shall be limited to individual disputes. Class actions or representative claims are not allowed.

Exceptions: Arbitration does not apply to disputes involving intellectual property rights, privacy violations, or claims for injunctive relief.

13. CORRECTIONS

There may be information on the LMS Platform that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any such issues at any time without prior notice.

14. DISCLAIMER

The LMS Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. You agree that your use of the LMS Platform will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We assume no liability for: (1) errors or inaccuracies in content, (2) personal injury or property damage, (3) unauthorized access, (4) service interruptions, (5) viruses or malware, (6) data loss.

15. LIMITATION OF LIABILITY

In no event will we be liable for any direct or indirect damages, including lost profits, lost data, or other losses. Our total liability is limited to the amount paid by you to us in the last six (6) months.

16. INDEMNIFICATION

You agree to indemnify us from any third-party claim due to: (1) your use of the LMS Platform, (2) breach of the Terms, (3) misrepresentation, (4) violation of third-party rights, or (5) harmful conduct toward other users.

17. USER DATA

We retain data related to the LMS Platform’s operation and your use of it. While we make regular backups, you are solely responsible for any loss or corruption of your data.

18. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using the LMS Platform or emailing us, you consent to electronic communications. You agree that electronic records, signatures, and notices satisfy any legal requirement for written documents.

19. RESPONSIBILITY FOR USER CONDUCT AND DATA

Raven Cybersecurity I.K.E. takes reasonable steps to protect the LMS Platform. The client is responsible for ensuring its users comply with these Terms, including data protection and acceptable use.

The client is liable for any violations resulting from user actions or omissions. Raven is not responsible for credential sharing or incorrect data uploads.

Both parties agree to cooperate in any incident and to notify each other without undue delay of any breach.

20. MISCELLANEOUS

These Terms constitute the full agreement. If a term is deemed invalid, the rest remain effective. No employment or agency relationship is formed. The electronic format is valid.
